Statute

 

Part one. General Provisions

 

1.       Name

The official name of the organization shall be gInternational Volunteer Network for Mongolian Childrenh in English, gƒ‚ƒ“ƒSƒ‹Žq‹ŸŽx‰‡ƒ{ƒ‰ƒ“ƒeƒBƒAƒlƒbƒgƒ[ƒN.h in Japanese, and g„M„€„~„s„€„|„„~ „‡її„‡„t„y„z„~ „„є„|єє „€„|„€„~ „…„|„ƒ„„~ „q„p„z„s„…„…„|„|„p„s„ph in Mongolian and hereinafter abbreviated as gIVNMCh.

 

2.       Objectives

Our objectives are to assist the children, future of Mongolia, in growing up independent and self-sufficient person, and to contribute substantially to the further development of international cooperation through our own activities.

 

3.       Registered office

At the initial stage of establishment, the presidential dwelling shall be used as a headquarter and its registered offices shall locate in Japan and Mongolia.

 

4.       Structure of organization

The organization comprises members who agreed or committed to the objectives of organization and the membership is open to those, regardless of their age, sex, race and citizenship, who have hearts and minds for the sake of human well-being.

 

5.       Principles of operation

Along with looking up to opinion of the President, the organization shall conduct its operation in a democratic and independent manner. Each member shall responsibly perform his or her functions connected with regions and branches that they are in charge.

 

6.       Scope of operation and requirements

In achieving the objectives set in 2, the organization shall carry out following activities:

 

(1)     food supply assistance to Mongolian children;

(2)     education and upbringing-related assistance to Mongolian children;

(3)     working premise or job assistance to single parents who head households;

(4)     other kinds of assistance consistent with the objectives of the organization.

 

7.       Unauthorized activities

Since the organization is a non-profit organization conducting volunteer operation, it is unauthorized to carry out the following activities:

 

(1)     to carry out political activities;

(2)     to carry out financial and economic activities (for profit);

(3)     to carry out religious activities.

 

 

 

 

 

 

Part two. Management

 

8.       Management

The directorates of the organization shall be selected from members with well-acquaintance or practical knowledge of real situation of the orphanage, and preferably who have previous visit to Mongolia.  Hierarchically, the organization shall have the following structure:

(1)     President                                                          1         

(2)     Executive director                                             2 (1 Mongolian, 1 Japanese )

(3)     Chairman                                                          2 (1 Mongolian, 1 Japanese )

(4)     Member of steering committee              up to 15

(5)     Chief of branch council                          up to 80

(6)     Supervisors                                                      2 (1 Mongolian, 1 Japanese CPA)

(7)     Advisors                                                           no limits

 

9.       Election of steering committee

Members of steering committee are elected in case where they obtained votes of more than half of the participants of council meeting compounded by the President.

 

10.   Responsibilities of directorates

(1)     The President shall be responsible for administering all operations representing the organization.

 

(2)     The Executive director shall be responsible for assisting the President and administering all activities representing the organization in his country.

 

(3)     Under the general direction of the President, the Chairman shall handle financial matters of that country and be responsible for disbursement of funds necessary for carrying out its activities.  

 

(4)     The member of steering committee shall be responsible for administering his or her jurisdictional region, promoting public awareness of the region, making disbursements of funds, and transferring necessary monies to the Chairman.  The member shall attach accounts of monies contributed by its members together with transference documents.

 

(5)     The chiefs of branch council shall be responsible for assisting the member of steering committee with operations and ensuring regularity of operations of own branch.

 

(6)     The supervisors shall supervise over financial and operational position of the organization.

 

11.   Election term of directorates

The election term of directorates shall be as following:

(1)        The election term of directorates shall be 2 years and they may be elected successively.

 

(2)        The directorates may continue their work in case where a successor is unknown despite of expiry of the term.

 

(3)        In cases where an additional person is required for particular position or that position becomes absent due to any reasons, election may be held again based on decision of meeting of steering committee. In such case, the election term of new candidate shall be remaining period until expiration of the term.

 

 

 

 

 

Part three. Advisor

 

12.   Advisor

The person who satisfies the following qualification may be eligible for position of an advisor:

(1)      With a consent or decision of steering committee, the person, who recognized the objectives and operations of the organization and is experienced and willing to make best endeavor to foster its further development, shall be appointed as an advisor.

 

(2)      The advisor is responsible for providing with counseling on matters received and get solved by the President.

 

Part four. Steering committee

 

13.   Convening meeting of steering committee

The meeting of steering committee shall be convened 5 months before end of the year concerned. The meeting will be held once a year in Mongolia or Japan alternatively.

 

14.   Steering committee

The steering committee shall operate in a following manner:

(1)     The president shall call on a meeting of steering committee and manage or direct the meeting.

 

(2)     If an attendance of the meeting is less than 2/3(including accredits) of all members, the meeting may be called off.

 

(3)     Supervisors and advisors shall have voting right at the meeting, but have no right to make a decision.

 

(4)     Decision of the meeting of steering committee shall be considered valid if it obtained a single majority of votes (of more than half members). In case of equal voting, decision of a chairperson of the meeting is final.

 

15.   Decision making

The following issues in question shall be solved at the meeting of steering committee:

(1)       to make any amendments and modifications to the contract or statutes of the organization;

(2)        matters concerning budget and its disbursement

(3)       other vital issues pertaining to activities of the organizations.

 

Part five. Finance

 

16.   Expenditure

Any expenses other than bank commission shall not be permitted within a year of establishment of the organization. Any job-related costs of all directorates and other necessary expenses shall be borne by themselves. Costs incurred in connection with general session, rent of meeting place, and meals shall be paid out in distribution of total number of persons concerned.

 

17.   Supervision on funds

(1)     Monies shall be kept by a reliable financial organization.

(2)     Fixed assets shall be maintained on the name of the Chairman.

 

 

18.   Financial statements

Upon preparing financial statements within 5 months before the year end and getting them examined by the financial supervisory board, the chairman shall pass the statements to the steering committee meeting for further clarification.

 

19.   Financial year

The financial year of the organization shall commence on April 1 and terminate on March 31 of the next year.

 

20.   Dissolution of organization

The organization shall be dissolved in following circumstances:

(1)     inability to achieve the set objectives of organization;

(2)     2/3 of members of steering committee approbated the decision to dissolve the organization.

 

21.   Remaining property

The remaining property of the organization shall be settled as follow:

(1)     In case of dissolution of the organization, the president shall settle all property-related accounts. 

(2)     If properties remained after settling property accounts, they shall be transferred, providing opinions of advisors, to volunteer organizations carrying out similar activities or other bodies conducting operations for the sake of state interest.

 

Part six. Other

 

22.   Responsibility

Any matters, not stipulated by this contract and statutes, concerning activities of the organization shall be resolved by the President with a consent of the Steering committee.

 

Other provisions

 

1.       Operations of initial stage

 

The operations at the initial stage of establishment shall be directed towards the Badamlyankhua, children center of Mongolia. (Lotus Children Center in Mongolia.)

 

2.       Proposed additions and amendments to contract and statutes

 

Any changes to the contract and statutes shall be considered valid if 2/3 of members of steering committee supported the suggestions on proposed additions and amendments thereto.

 

3.       Applicability of contract and statute

This statute shall be effected from August 28, 2003.
